# Terms of Use

**Hamilton Digital Assets Limited — Terms of Use**

Effective Date: October 23, 2026

## 1. Acceptance of Terms

By accessing or using the Hamilton platform, website, mobile application, or any related interface (collectively, the "Platform"), you agree to be bound by these Terms of Use ("Terms"). If you do not agree, do not access or use the Platform. These Terms apply to all visitors, users, and others who access the Platform.

## 2. Definitions

**"HDA"** Hamilton Digital Assets Limited, a company incorporated in the British Virgin Islands;

**"Platform"** the Hamilton website, web application, mobile application, and any associated interfaces operated by HDA;

**"Protocol"** the underlying Hamilton smart contract infrastructure, which operates independently of HDA on public blockchain networks;

**"Third-Party Protocols"** decentralized finance protocols, liquidity pools, exchanges, and other blockchain-based systems that are not operated by HDA;

**"USDh"** the USD-pegged digital token issued by HDA;

**"Wallet"** a self-custodial digital asset wallet used to interact with blockchain networks;

**"Primary User"** a user who has completed HDA's KYC/AML onboarding and entered into a Primary User Agreement with HDA;

**"Holding User"** a user who accesses the Platform without a direct contractual relationship with HDA;

**"Restricted Person"** and **"Restricted Territory"** as defined in the USDh Terms and Conditions.

## 3. Nature of the Platform

3.1 The Platform is an interface that allows users to interact with the Protocol and Third-Party Protocols. HDA operates minting and redemption infrastructure directly through Hamilton Digital Assets Limited, but does not control, operate, or maintain any decentralized Third-Party Protocols, liquidity pools, or DeFi platforms accessible through the Platform interface.

3.2 HDA does not custody user digital assets. Users retain full control of their digital assets through their own Wallets at all times. For Primary Users only, the limited transit custody of USD wire-transfer funds during the mint or redemption settlement window (typically two to three Business Days) is governed by the Primary User Agreement (Clauses 6.2 and 7.2) and does not constitute custody of digital assets.

3.3 The Platform does not execute trades, swaps, or transactions on users' behalf. All transactions are initiated and signed by the user through their own Wallet.

3.4 Staking, yield-generating, and liquidity provision features accessible through the Platform are operated exclusively by autonomous protocols and entities independent of HDA. HDA does not operate, control, or guarantee any staking mechanism, including any mechanism that may be operated by an autonomous smart contract protocol, a decentralised autonomous organisation, any parent, subsidiary, or affiliated entity of HDA, or any other person. HDA assumes no liability for returns, losses, or outcomes arising from any staking or yield activity.

3.5 HDA does not provide investment, financial, legal, or tax advice through the Platform.

## 4. Eligibility

4.1 You must be at least 18 years of age to use the Platform.

4.2 You represent and warrant that:

* You are not a Restricted Person;
* You are not located in or accessing the Platform from a Restricted Territory;
* Your use of the Platform complies with all applicable laws in your jurisdiction;
* If you are accessing the Platform on behalf of a legal entity, you have authority to bind that entity to these Terms.

4.3 HDA may restrict access to the Platform from certain jurisdictions, IP addresses, or wallet addresses at its discretion.

## 5. Wallet Connections

5.1 To use certain features of the Platform, you must connect a compatible self-custodial Wallet.

5.2 You are solely responsible for the security of your Wallet, including your private keys, seed phrases, and access credentials. HDA has no ability to recover lost or compromised Wallets.

5.3 By connecting a Wallet to the Platform, you confirm that the Wallet is not associated with any Restricted Person or Blocked Address.

5.4 HDA is not responsible for the performance, security, or availability of any third-party Wallet software (including MetaMask, Phantom, or other providers).

## 6. Permitted and Prohibited Uses

6.1 You may use the Platform to:

* View information about USDh and the Hamilton protocol;
* Connect your Wallet and view your USDh balance;
* Initiate USDh swaps through supported Third-Party Protocols;
* Access, through the Platform interface, staking and portfolio management features provided exclusively by independent Third-Party Protocols that are not services of HDA;
* Access information about becoming a Primary User.

6.2 You may NOT use the Platform to:

* Engage in any market manipulation, wash trading, or fraudulent activity;
* Circumvent any geographic restrictions or sanctions screening;
* Engage in money laundering, terrorist financing, or any other illegal financial activity;
* Operate as an unlicensed broker, dealer, or financial intermediary;
* Use automated bots, scrapers, or scripts to access the Platform without HDA's prior written consent;
* Attempt to reverse engineer, tamper with, or compromise the Platform or Protocol;
* Infringe the intellectual property rights of HDA or any third party.

## 7. Primary User Access

7.1 Certain Platform features including direct USDh minting and redemption are restricted to Primary Users who have completed HDA's KYC/AML onboarding process.

7.2 Primary Users are additionally governed by their Primary User Agreement and the USDh Terms and Conditions, which prevail over these Terms of Use in the event of any conflict.

7.3 To apply for Primary User status, contact HDA at <legal@hamilton.xyz>.

## 8. Third-Party Protocols and Services

8.1 The Platform may display information about or provide access to Third-Party Protocols. HDA does not control, endorse, or take responsibility for Third-Party Protocols.

8.2 Your use of Third-Party Protocols is governed solely by their respective terms of service. HDA is not a party to those arrangements.

8.3 HDA is not responsible for losses arising from: smart contract vulnerabilities in Third-Party Protocols; rug pulls or exploits; liquidity failures; or any other risks inherent to decentralized finance.

## 9. Intellectual Property

9.1 All content on the Platform including text, graphics, logos, and software is owned by or licensed to HDA and protected by applicable intellectual property law.

9.2 You are granted a limited, non-exclusive, non-transferable license to access and use the Platform for personal, non-commercial purposes, subject to these Terms.

9.3 You may not reproduce, distribute, modify, or create derivative works from Platform content without HDA's prior written consent.

## 10. Disclaimers

10.1 The Platform is provided on an "as is" and "as available" basis. HDA makes no warranties, express or implied, regarding the availability, accuracy, or fitness of the Platform for any purpose.

10.2 Blockchain transactions are irreversible. HDA is not responsible for losses caused by user error, including sending assets to incorrect addresses or approving malicious contracts.

10.3 The Platform may experience downtime, delays, or errors due to blockchain network conditions, third-party dependencies, or maintenance. HDA does not guarantee uninterrupted access.

10.4 Price and market information displayed on the Platform is provided for informational purposes only and may not be accurate or up to date.

10.5 Unsolicited Transactions. You agree and understand that all transfers, mints, redemptions, swaps, staking, unstaking, and other actions you perform utilizing the Platform or any interface accessible through it are considered unsolicited. You have not received any investment, financial, legal, or tax advice from HDA in connection with any such action. HDA has not actively solicited your use of the Platform, the Protocol, or any Third-Party Protocol, and HDA does not conduct a suitability review of any such action. No information displayed by, or accessible through, the Platform should be construed as investment, financial, legal, or tax advice.

## 11. Limitation of Liability

11.1 To the maximum extent permitted by applicable law, HDA shall not be liable for any indirect, incidental, consequential, punitive, or special damages arising from your use of the Platform.

11.2 HDA's aggregate liability to any user for claims arising out of or related to Platform access shall not exceed USD 100. This cap applies to all users accessing the Platform interface, including Primary Users to the extent their claim relates solely to Platform access and is not a claim arising under or in connection with the Primary User Agreement. For claims arising under the Primary User Agreement, Primary Users are subject to the liability cap set out therein. For claims arising under the USDh Terms and Conditions, USDh holders are subject to the cap set out therein. Platform access does not itself involve financial activity — all financial activity occurs through the Protocol or Third-Party Protocols at the user's own risk.

11.3 Nothing in these Terms limits HDA's liability for fraud, willful misconduct, or death or personal injury caused by HDA's negligence.

## 12. Indemnification

You agree to indemnify, defend, and hold harmless HDA and its officers, directors, employees, and affiliates from and against any claims, losses, damages, costs, and expenses (including reasonable legal fees) arising from: (a) your use of the Platform in violation of these Terms; (b) your violation of applicable law; or (c) any third-party claim arising from your actions on the Platform.

## 13. Modifications to the Platform and Terms

13.1 HDA may modify, suspend, or discontinue the Platform or any feature at any time with or without notice.

13.2 HDA may update these Terms at any time. The updated Terms will be effective upon posting. Continued use of the Platform after posting constitutes acceptance of the revised Terms.

13.3 It is your responsibility to review these Terms periodically.

## 14. Termination

14.1 HDA may suspend or terminate your access to the Platform at any time, for any reason, including but not limited to: violation of these Terms; compliance concerns; regulatory requirements; or cessation of Platform operations.

14.2 Upon termination, all licenses granted to you under these Terms immediately expire.

## 15. Dispute Resolution

15.1 These Terms are governed by the laws of the British Virgin Islands.

15.2 Any dispute arising out of or in connection with these Terms shall be resolved by binding individual arbitration administered by the BVI International Arbitration Centre ("BVIAC") in accordance with the BVIAC Arbitration Rules then in force, seated in the British Virgin Islands. You waive any right to participate in a class action, collective proceeding, or jury trial. You have the right to opt out of the arbitration provisions and the class-action waiver in this Section 15 by sending written notice of your decision to opt out to <legal@hamilton.xyz> within thirty (30) days of your first use of the Platform. The notice must include your name, contact details, and any wallet address(es) used to access the Platform. If you do not send a timely opt-out notice, you shall be bound to resolve disputes through individual (non-class) arbitration in accordance with these Terms. If you opt out of these arbitration provisions, HDA will also not be bound by them with respect to you.

15.3 Notwithstanding the foregoing, HDA may seek equitable relief in any court of competent jurisdiction.

## 16. General

16.1 If any provision is held invalid, the remaining provisions remain in force.

16.2 HDA's failure to enforce any provision shall not constitute waiver.

16.3 HDA may assign its rights under these Terms. You may not assign your rights without HDA's prior written consent.

16.4 The General Risk Disclosures published by HDA from time to time are incorporated into these Terms by reference. By using the Platform, you acknowledge that you have read, understood, and accepted the risks described therein.

16.5 Document Hierarchy. These Terms are subject to the document hierarchy set out in the USDh Terms and Conditions. In the event of any conflict, the Primary User Agreement (for Primary Users) and the USDh Terms and Conditions shall prevail over these Terms of Use.

16.6 These Terms, together with the documents referenced herein, constitute the entire agreement between you and HDA regarding Platform access.
